Terms of Service

1. Who we are and what these terms cover

“KortexHQ,” “we,” “us” and “our” mean the operator identified below. “You” means the person using KortexHQ. These terms cover the KortexHQ website, Prompt Village, the workspace (projects, files, conversations, styles and settings), imports, AI conversation and image features, the free first-creation Sandbox, the optional assistant-connection feature, and any paid membership or credit purchases when we actually offer them.

Some features are available only by invitation during early access, and some described in our policies may not be offered yet. A feature being mentioned here is not a promise that it is available to you.

2. Who can have an account

To create an account you must be at least 18 years old and have the legal capacity to enter a contract where you live. Accounts are for individual adults; you may use your account for your own business, but you are responsible for anyone you let use it.

Parents, teachers and tutors may use their own accounts to prepare learning materials and activities for children. KortexHQ does not offer accounts for children, does not operate a parental-consent system, and is not designed for children to use directly. Please don't enter children's names, birth dates, schools, photos of their faces or other identifying details unless it is truly necessary — usually it isn't. If we learn that an account belongs to someone under 18, we may close it as described in our Privacy Notice.

3. Your account and security

Give accurate sign-up information and keep your password private. Tell us promptly at team@aimasterminds.com if you think someone else has accessed your account. You may not sell, rent or share access to your account, create accounts to get around limits, or use someone else's account without permission. You are responsible for activity in your account that you or people you allow carry out.

4. Using KortexHQ responsibly

You agree to follow our Acceptable Use Policy, which is part of these terms. It explains what is not allowed — for example fraud, harassment, sexual content involving minors, attacks on systems, and getting around credit, payment or safety controls — and how we respond.

5. AI features and their limits

KortexHQ uses AI models operated by third-party providers. AI output can be wrong, incomplete, outdated, biased or inconsistent, and it can sound confident when it is mistaken. It is not advice from a doctor, lawyer, accountant, financial adviser, engineer or any other licensed professional, and it must not be relied on in an emergency. Review what you receive before you use it, especially for health, legal, financial, safety, employment or other important decisions, and contact emergency services when someone may be in danger.

Unless a feature clearly says it does, KortexHQ does not search the live web, verify facts, act in other apps, or send messages for you. Prompt Village tools describe goals such as “build an agent” or “plan a campaign,” but they prepare a conversation; they do not connect your email, calendar, ManyChat or other accounts. 6. Your content

“Your content” means what you put into KortexHQ — prompts, messages, imported transcripts, uploaded files and photos, styles, project notes and decisions. You keep the rights you have in it. You give us a non-exclusive, worldwide, royalty-free permission to host, store, copy, process, transmit to our service providers, back up and display your content privately to you, only as needed to provide the features you use, keep the service secure, prevent abuse, and meet legal obligations. This permission ends when your content is deleted from our active systems, except for limited copies kept as described in our Privacy Notice.

We do not get a right to publish your private content, use it in our marketing, or sell it, and we do not use it to train our own AI models. You must have the rights and permissions needed for what you upload, including permission from people who appear in photos you use.

7. AI output and ownership

As between you and us, we assign to you any rights we may have in output generated for you, to the extent the law and our providers' terms allow. We cannot promise that output is protected by copyright, exclusive to you, original, or free of other people's rights: the law on AI-generated material is still developing, and other people may receive similar output. Before you publish or sell output, check it for third-party trademarks, copyrighted material, real people's likenesses and claims you can't support. See Intellectual Property & Content Reports.

8. Prompt Village templates and KortexHQ materials

We own the KortexHQ software, design, branding, cover artwork and the Prompt Village catalog. You may use and adapt individual prompt templates for your own personal or business work, including work you do for clients. You may not copy, resell or redistribute the catalog as a whole or in substantial part, present it as your own product, use the KortexHQ or AiMasterminds names and logos as if they were yours, or imply that we endorse you. Cover images in Prompt Village are illustrative; they are not examples of guaranteed results.

9. Credits, memberships and payments

When paid features are offered, prices, renewal, credits, cancellation and refund requests are governed by our Billing, Credits, Cancellation & Refunds policy. If that policy and these terms conflict about a payment matter, that policy controls. During the current early-access period, live payments are not being taken.

10. Availability, changes and your work

We work to keep KortexHQ available and your saved work safe, but we cannot promise uninterrupted service, error-free operation, real-time background processing, or that any particular AI model, provider or feature will remain available. We may change, replace or remove features and providers. Price changes apply going forward and are handled under the billing policy. If we plan to discontinue a feature that stores your work, or the whole service, we will give reasonable notice where practicable and a reasonable chance to export or download your saved work. Please keep your own copies of anything important; KortexHQ is not a guaranteed permanent archive.

11. Suspension and closing accounts

You may stop using KortexHQ at any time and ask us to close your account through Data Rights & Deletion. We may limit, suspend or close an account, or remove content, when we reasonably believe it is needed because of a serious or repeated breach of these terms or the Acceptable Use Policy, a security risk, fraud, non-payment, or a legal requirement. Where practicable and lawful, we will tell you why and give you a chance to respond or fix the problem first. We will not delete your account indiscriminately, and we will handle any remaining paid balance as the billing policy and applicable law require.

12. Disclaimers

We provide KortexHQ with reasonable care and skill. Apart from that, and to the extent the law allows, KortexHQ is provided “as is” and “as available,” and we disclaim implied warranties such as merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms limits warranties or rights that cannot be limited under the consumer laws that apply to you.

13. Limits on liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data that you could reasonably have avoided by keeping your own copies. To the extent the law allows, our total liability for all claims relating to KortexHQ is limited to the greater of (a) the amount you paid us for KortexHQ in the 12 months before the claim arose, or (b) US $100.

These limits do not apply to liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited or excluded.

14. Governing law and disputes

Please contact us first at team@aimasterminds.com — most problems can be fixed quickly. Contacting us is voluntary and does not stop you from using any legal right you have, or either of us from seeking urgent relief from a court.

These terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules, and disputes will be heard in the state or federal courts located in Clark County, Nevada. If you are a consumer, you also keep the protection of mandatory laws of the place where you live, and you may be able to bring a claim in your local courts. These terms do not require arbitration and do not waive class actions or jury trials.

15. Changes to these terms

If we make a material change, we will post the new version with its effective date and tell account holders in advance by email or in the app. Changes apply going forward only — never to past use or past purchases. If you don't agree with a change, you can stop using KortexHQ and close your account before it takes effect. Simply visiting a page does not mean you have agreed to new terms.

16. General

If any part of these terms is found unenforceable, the rest stays in effect. If we don't enforce a provision right away, we haven't waived it. You may not transfer your account or these terms without our written agreement. We may transfer them to a successor in a merger, acquisition or sale of the service, as long as your rights under these terms and applicable law are not reduced. These terms, together with the policies they link to, are the whole agreement about KortexHQ.
